ALL PRODUCTS SOLD BY NORTHSTAR BIO LABS ("Northstar," "we," "us," or "our") ARE INTENDED STRICTLY FOR IN-VITRO LABORATORY RESEARCH BY QUALIFIED PROFESSIONALS IN A CONTROLLED LABORATORY SETTING. They are not drugs, foods, cosmetics, household products, agricultural products, dietary supplements, or medical devices, and are not intended, labeled, or approved for human or veterinary use, ingestion, inhalation, injection, topical or mucosal application, or any in-vivo diagnostic, therapeutic, or performance-related purpose.

By placing an order, Buyer covenants and agrees that it will not administer, or permit or facilitate the administration of, any product to any human or animal, and will not use any product for any purpose other than in-vitro laboratory research. This covenant survives delivery, resale (where not prohibited), and termination of any relationship with Northstar. See also our full Research-Use Disclaimer.

By creating an account, browsing the catalog, or placing an order, Buyer represents and warrants, as a condition of sale, that Buyer:

• Is at least eighteen (18) years of age or the age of majority in Buyer's jurisdiction, whichever is greater, and has full legal capacity to enter into this agreement.
• Is a bona fide researcher, scientist, laboratory, or institutional purchaser with the training, facilities, and equipment necessary to safely handle research chemicals.
• Is purchasing solely for lawful in-vitro laboratory research and not for personal consumption, resale to consumers, or any human or veterinary use.
• Will not resell, distribute, repackage, relabel, or otherwise redistribute any product to any unqualified individual, and will not export any product in violation of applicable export-control or sanctions laws.
• Is not a resident of, and will not ship to, any jurisdiction where purchase, possession, or use of the product is unlawful.
• Will comply with all applicable local, state, federal, and international laws, regulations, and institutional biosafety requirements.

Northstar may request documentation substantiating any representation in this Section and may refuse or cancel any order where such documentation is not provided to our satisfaction.

Buyer shall not, directly or indirectly:

• Use, or allow any third party to use, any product for human or veterinary consumption, administration, or any in-vivo purpose.
• Represent, market, or resell any product as a supplement, cosmetic, food, drug, or consumer good.
• Resell, distribute, broker, or transfer any product to any person who is not a qualified researcher or institution.
• Export, re-export, or transfer any product in violation of U.S. export-control laws (including the Export Administration Regulations) or the sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), or supply any product to any restricted, denied, or sanctioned party or destination.
• Use the site or any product in furtherance of any unlawful, fraudulent, or deceptive purpose.

Any violation of this Section constitutes a material breach and grounds for immediate account termination, order cancellation, and referral to law enforcement or regulatory authorities where warranted.

Placement of an order is an offer to purchase, not an acceptance by Northstar. No contract of sale is formed until Northstar confirms shipment. Northstar may, in its sole discretion and without liability, refuse, limit, delay, or cancel any order or account, including for suspected fraud, suspected intended human or veterinary use, incomplete or inaccurate buyer information, pricing or listing errors, unavailability of inventory, or any breach of these Terms.

If a product is listed at an incorrect price or with incorrect information due to typographical, photographic, technical, or supplier error, Northstar may cancel the order and refund any amount paid, regardless of whether the order has been confirmed and payment charged.

Payments are accepted in cryptocurrency through a third-party payment processor designated by Northstar, or by PayPal, Zelle or Venmo transfer. Northstar does not receive, process, or store payment card numbers. By submitting payment, Buyer agrees to the applicable payment processor's terms of service and authorizes payment of the full order amount, including applicable taxes and shipping. Cryptocurrency payments are final once confirmed on the relevant network.

Buyer agrees not to initiate a chargeback or payment dispute for goods that were accurately described and delivered in conformity with the order. Northstar reserves the right to contest any chargeback, to recover chargeback and associated fees, to suspend or terminate the account of any buyer who initiates a fraudulent or unwarranted chargeback, and to refuse future orders from that buyer or any associated payment method, shipping address, or account.

Prices displayed exclude applicable sales, use, excise, and similar taxes unless stated otherwise. Buyer is responsible for all such taxes associated with its purchase, except taxes based on Northstar's net income.

Northstar currently ships only to addresses within the United States. Title and risk of loss pass to Buyer upon tender of the product to the carrier. Northstar is not responsible for loss, theft, delay, or damage occurring after tender to the carrier, except as expressly provided in our Returns & Refunds policy.

Shipments refused, undeliverable due to an inaccurate or incomplete address supplied by Buyer, or unclaimed and returned to Northstar, may be resent only at Buyer's additional expense and are not eligible for refund of original shipping charges. See our full Shipping Policy.

Buyer is solely responsible for proper storage, handling, and use of all products immediately upon receipt, including any temperature-control, safety, or biohazard-handling requirements applicable to the specific material. Northstar is not liable for degradation, contamination, or loss of efficacy resulting from Buyer's storage or handling after delivery.

Because of the nature of research chemicals and the safety risks of re-introducing returned material into inventory, all sales are final. Northstar does not accept returns of opened, used, or altered products under any circumstances.

Claims for products damaged in transit or shipped in error must be submitted within forty-eight (48) hours of delivery, together with photographic evidence, order number, and a description of the defect. Claims submitted after this window will not be honored. Approved claims will be replaced or refunded at Northstar's sole discretion. See the full Returns & Refunds policy.

Northstar may modify, discontinue, or withdraw any product listing, specification, packaging, or pricing at any time without notice or liability, including where a material becomes an approved or investigational drug substance, is subject to new regulatory restriction, or where the listing could reasonably be read as intended for human use.

EXCEPT AS EXPRESSLY STATED ON A PRODUCT'S CERTIFICATE OF ANALYSIS, ALL PRODUCTS AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF ANY PRODUCT LISTING, DESCRIPTION, IMAGE, OR SPECIFICATION. NORTHSTAR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHSTAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO ANY PRODUCT OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF NORTHSTAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NORTHSTAR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY CLAIM EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY BUYER TO NORTHSTAR FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ANY LIMITED REMEDY OF ITS ESSENTIAL PURPOSE.

Buyer shall indemnify, defend, and hold harmless Northstar and its officers, directors, employees, suppliers, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Buyer's breach of these Terms; (b) Buyer's use, misuse, storage, transfer, or disposal of any product; (c) any human or veterinary use, or attempted human or veterinary use, of any product by Buyer or any third party to whom Buyer supplied a product; or (d) Buyer's violation of any law or third-party right.

Buyer acknowledges that research chemicals may be hazardous if mishandled and voluntarily assumes all risk associated with their purchase, receipt, storage, handling, use, and disposal. Buyer releases Northstar and its officers, directors, employees, suppliers, and affiliates from any and all claims, known or unknown, arising from or related to such purchase, receipt, storage, handling, use, or disposal, to the fullest extent permitted by law.

Buyer is solely responsible for determining whether purchase, possession, and use of any product is lawful in Buyer's jurisdiction and for obtaining any permit, license, or authorization required. Buyer represents that it is not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and is not listed on any U.S. government restricted-party list.

All branding, copy, photography, and product listings on this site are the property of Northstar or its licensors and may not be reproduced without written permission. Compound names, sequences, and CAS numbers are referenced solely for identification purposes and do not imply endorsement by, affiliation with, or approval from any patent holder, manufacturer, institution, or regulatory authority.

BEFORE ANY ORDER IS PROCESSED, Buyer must affirmatively acknowledge — by checking each required box at checkout — that Buyer (a) is a qualified researcher purchasing strictly for in-vitro laboratory research, (b) is of legal age and authorized to purchase research chemicals in Buyer's jurisdiction, and (c) has read, understood, and agrees to be bound by these Terms, including the research-use covenant, disclaimer of warranties, limitation of liability, and indemnification provisions.

Submission of this acknowledgment constitutes Buyer's electronic signature and creates a binding, timestamped record — including Buyer's IP address, user agent, and the exact time of submission — that is admissible as evidence of Buyer's consent and agreement to the same extent as a handwritten signature, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and analogous state law. Buyer consents to conduct this transaction electronically.

Nothing on this site or in any communication from Northstar is medical, veterinary, clinical, legal, or other professional advice. We do not provide, and will decline any request for, dosing, administration, reconstitution, protocol, cycling, or other in-vivo use guidance of any kind. See our full Disclaimer.

Northstar endeavors to display accurate product information but does not warrant that listings, descriptions, pricing, or other site content are complete, current, or error-free. Northstar reserves the right to correct any error, inaccuracy, or omission and to cancel any order based thereon, even after an order has been submitted or confirmed.

Buyer is responsible for maintaining the confidentiality of any account credentials or access codes and for all activity occurring under Buyer's account. Buyer agrees not to interfere with the operation of the site, attempt unauthorized access to any system, scrape or harvest data, or use the site for any unlawful purpose. Northstar may suspend or terminate any account for suspected violation of this Section.

Our collection and use of personal information in connection with the site and your orders is described in our Privacy Policy, which is incorporated into these Terms by reference.

Northstar shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disaster, pandemic, war, terrorism, labor dispute, carrier disruption, governmental action, or supply-chain interruption.

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable. Northstar's failure to enforce any provision is not a waiver of that or any other provision. These Terms, together with the Privacy Policy, Disclaimer, Shipping Policy, and Returns & Refunds policy, constitute the entire agreement between Buyer and Northstar regarding the subject matter herein and supersede all prior agreements. Buyer may not assign these Terms without Northstar's prior written consent; Northstar may assign these Terms freely.

Northstar may provide notices to Buyer via the email address associated with Buyer's order or account. Buyer may send legal notices to Northstar through the channels listed on our Contact page.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (in each case, not subject to arbitration under Section 26) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any such dispute, and Buyer waives any objection to venue in such courts.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS BUYER'S LEGAL RIGHTS. Except for claims that qualify for small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms, any product, or the site shall be resolved exclusively through final and binding individual arbitration administered under the rules of a recognized arbitration provider, seated in Delaware, rather than in court.

BUYER AND NORTHSTAR EACH WAIVE THE RIGHT TO A TRIAL BY JURY. ARBITRATION SHALL PROCEED ONLY ON AN INDIVIDUAL BASIS; BUYER AND NORTHSTAR EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PARTY.

Buyer may opt out of this arbitration agreement by sending written notice to Northstar within thirty (30) days of the date Buyer first accepted these Terms, through the channels listed on our Contact page, identifying Buyer's name, order number or account email, and a clear statement of intent to opt out of arbitration. Timely opt-out will not affect any other provision of these Terms.

Any claim or cause of action arising out of or related to these Terms or any product must be commenced within one (1) year after the claim or cause of action accrues, or it is permanently barred, notwithstanding any longer statute of limitations that might otherwise apply.

Northstar may revise these Terms at any time by posting an updated version with a new effective date at the top of this page. Changes apply prospectively to orders placed after the effective date. Continued use of the site or placement of an order after an update constitutes acceptance of the revised Terms.
